STANDARD TERMS AND CONDITIONS OF SALE
SPECIFICATION
All goods supplied by us shall be in accordance with our current catalogue as published and further specifications or descriptions expressly listed or set out on the Invoice.
ACCEPTANCE
You will be deemed to have accepted all goods upon their delivery by our nominated courier to the address specified on the Invoice/Order.
We must be informed within 3 days of any shortages/discrepancies.
We reserve the right to retain any deposits or charge in full for any goods supplied where cancellation is not made within the period specified.
Returned goods must be made within 7 days of delivery so as not to incur a re-stocking fee of 15%.
DELIVERY AND RISK
We will endeavour to ensure that delivery is made within our couriers’ time scales, however these times may be prone to delays beyond our control.
We will not be responsible for any loss whatsoever arising from or consequential upon delay in delivery.
We may exercise the right of stoppage by informing our courier to re-deliver the goods back to us.
TITLE AND PAYMENT
We warrant that we have good title to the goods and will transfer such title as we have in the goods to you pursuant to the paragraphs below.
Title of goods comprised on the Invoice(s) shall not pass to you until you have paid the full invoice value.
PRICE
The price charged on the Invoice will be the current retail price as per our latest price list.
If any specific discounts have been agreed, this will be shown on the Invoice against each individual part number or as a total Invoice discount.
If the rate of Value Added Tax (VAT) increases between the date of the order and the date of delivery we will add the necessary additional amount to the value of the goods.
If the price of the goods increases for any other reason between the date of your order and the date of delivery, we will notify you of this and give you the choice of accepting the price increase or cancelling the order.
DAMAGE IN TRANSIT
We will replace free of charge any goods proved to our satisfaction to have been damaged in transit provided that such damage is notified to us or the carriers in writing within 72 hours of delivery.
FORCE MAJEURE
We shall not be liable for delay if such delay is caused by any circumstances beyond our control.
For the purposes of this condition, ‘force majeure’ shall include, but not be limited to acts of God, War, Terrorism, Civil Disorder, Industrial Dispute, Fire or Explosions.
Upon the occurrence of a ‘force majeure’ event we shall be entitled to a reasonable extension of time for the performance of our obligations.

JURISDICTION
If any part of these Terms and Conditions are found to be unlawful it shall not affect the validity or enforceability of the remaining clauses.
These Terms and Conditions shall be construed in accordance with the laws of England and shall be subject to the exclusive jurisdiction of the English courts
